Service Company Terms of Service
1. Definitions
As used in these Terms:
- Platform means the Safe Structure Group website, dashboard, and all related services operated by NRK Enterprises, LLC.
- Company / You means the business that creates an account and purchases access to Service Requests through the Platform.
- Customer means a property owner, homeowner, landlord, business, or contractor who submits a project request through the Platform.
- Service Request / Lead means a project inquiry submitted by a Customer, including property details, service type, location, and contact information.
- Contact Information means the Customer’s name, phone number, email address, and other identifying details submitted with a Service Request.
- Account Balance means prepaid funds loaded by the Company into its Safe Structure Group account for purchasing Service Requests.
2. Platform Description
Safe Structure Group is a lead generation and connection platform. It collects Service Requests from Customers seeking environmental and property-damage services, including asbestos testing and abatement, lead paint testing and removal, mold remediation, and water damage restoration or emergency dry-out services, and makes them available to approved Companies.
Safe Structure Group acts solely as an intermediary. It does not perform, supervise, guarantee, or warrant any services rendered by Companies to Customers.
3. Account Eligibility
To register and maintain an account, the Company must:
- Be a legally registered business entity in good standing.
- Provide accurate and complete company and contact information during registration and keep it current.
- Be legally authorized to perform the services for which it purchases leads in the jurisdictions where it operates.
Safe Structure Group reserves the right to verify eligibility at any time and to suspend or terminate any account that does not meet these requirements. The Company is solely responsible for maintaining any licenses, permits, insurance, and certifications required by applicable law.
4. Lead Access and Purchase
Customer Contact Information remains locked until a Company purchases the corresponding Service Request. Upon purchase, the Company receives access to the Contact Information submitted by the Customer for that specific request only.
Purchasing a Service Request constitutes payment for access to that Contact Information. It does not constitute a guarantee of any business outcome.
5. Lead Quality Disclaimer
Safe Structure Group does not guarantee:
- The accuracy or completeness of any Service Request.
- Customer responsiveness, intent, or availability.
- Project value, close rate, or that a job will actually take place.
- That a Customer has not already hired another company or cancelled their project.
- That Contact Information will be accurate or reachable at the time of purchase.
6. Customer Contact Use Limits
The Company may use purchased Contact Information only to follow up on the specific Service Request for which it was purchased. The Company may not:
- Add Customers to marketing lists, newsletters, or automated outreach campaigns without the Customer’s separate, explicit consent.
- Contact Customers about services outside the scope of the purchased request.
- Resell, share, or transfer Contact Information to any third party.
The Company is responsible for complying with all applicable laws governing customer contact, including CAN-SPAM, TCPA, and any relevant state privacy regulations.
7. Response Expectations
Companies are expected to contact purchased leads promptly and professionally. Safe Structure Group reserves the right to suspend accounts that generate a pattern of customer complaints related to unprofessional conduct.
8. Service Responsibility
The Company is solely and fully responsible for all aspects of services it performs for Customers, including:
- Estimates, pricing, contracts, and invoicing.
- Licensing, permits, insurance, and regulatory compliance.
- Job performance, quality, and safety.
- Management of employees, workers, and subcontractors.
- All customer disputes, complaints, or legal claims arising from services rendered.
Safe Structure Group has no control over and assumes no responsibility for the quality, safety, legality, or outcome of any services performed by the Company.
9. Payments and Account Balance
All payments are processed through Stripe. By making a purchase, the Company agrees to Stripe’s Terms of Service. Safe Structure Group does not store card or banking information directly.
Companies may preload funds into their Account Balance and use that balance to purchase Service Requests. Account Balance is non-transferable in value but may be transferred to another business in connection with a legitimate business transfer. Safe Structure Group reserves the right to modify Service Request pricing at any time.
Upon voluntary account closure, any remaining Account Balance will be refunded. Balance is forfeited only in the event of account termination for cause.
10. Refund Policy
All Service Request purchases are final. Refunds are issued only in the following cases:
- The Contact Information provided is provably wrong or invalid, such as a disconnected number or non-existent email address that cannot be reached by any means.
- At Safe Structure Group’s sole discretion, on a case-by-case basis.
Refund requests must be submitted to [email protected] with supporting evidence. Safe Structure Group reserves the right to investigate all refund claims. Fraudulent refund claims, including falsely reporting valid contact information as invalid, constitute a violation of these Terms and may result in immediate account termination and balance forfeiture.
11. Chargebacks
If a Company initiates a chargeback or payment dispute with its bank or card issuer without first contacting Safe Structure Group at [email protected], its account may be paused pending review. Safe Structure Group reserves the right to contest any chargeback it deems to have been filed in bad faith and to terminate accounts that engage in chargeback abuse.
12. Prohibited Conduct and Violations
The following constitute violations of these Terms:
- Contacting Customers about services outside the scope of the purchased request.
- Misrepresenting the Company’s qualifications, licenses, certifications, or identity to Customers or to Safe Structure Group.
- Harassing, threatening, or engaging in abusive conduct toward Customers.
- Submitting false or fraudulent information, including falsely claiming Contact Information is invalid to obtain a refund.
- Filing chargebacks in bad faith without prior contact with Safe Structure Group.
- Creating multiple accounts to circumvent restrictions or game the platform.
- Scraping, reverse engineering, or extracting data from the Platform.
- Any other conduct that Safe Structure Group determines, in its sole discretion, to be harmful to the Platform, its Customers, or its integrity.
Violation of any of the above will result in immediate account termination and forfeiture of any remaining Account Balance. Safe Structure Group reserves the right to investigate suspicious behavior, including invalid-number abuse, duplicate accounts, payment fraud, and attempts to bypass the Platform, at any time.
If a Company’s account is terminated for any reason, it is prohibited from registering or creating a new account under its own name, a different name, or the name of any third party, without the prior written consent of Safe Structure Group.
13. Account Termination
By the Company: The Company may close its account at any time by contacting [email protected]. Any remaining Account Balance will be refunded upon voluntary closure.
By Safe Structure Group: Safe Structure Group may suspend or permanently terminate any account at any time, with or without notice, for violation of these Terms or for any reason it determines to be in the best interest of the Platform or its Customers. In the event of termination for cause, any remaining Account Balance is forfeited.
No account ownership: The Company has no ownership rights to its account. Safe Structure Group may delete the account and all associated data upon termination.
14. Account Security
The Company is the sole authorized user of its account and is responsible for maintaining the confidentiality of its login credentials. The Company is solely and fully responsible for all activity that occurs under its account. The Company must notify Safe Structure Group immediately at [email protected] if it suspects any unauthorized access to or use of its account.
15. Data, Privacy, and Confidentiality
Customer Contact Information is confidential and is made available to Companies only upon purchase. The Company agrees to:
- Protect Customer Contact Information from unauthorized disclosure.
- Use Contact Information only as permitted under these Terms.
- Comply with all applicable privacy, data protection, and consumer contact laws.
Safe Structure Group’s use of personal information is governed by its Privacy Policy, incorporated herein by reference.
16. Account and Balance Transfer
The Company may transfer its account and remaining Account Balance to another business entity in connection with a legitimate business transfer, acquisition, or change of ownership, provided it notifies Safe Structure Group in advance at [email protected]. Safe Structure Group reserves the right to approve or deny any transfer request. Transfers for the purpose of circumventing account restrictions are prohibited.
17. SMS and Email Communications
By creating an account, the Company consents to receive operational communications from Safe Structure Group via email and SMS, including notifications about new leads, purchases, account status, and platform activity. These communications are necessary to operate the account and cannot be individually opted out of while the account remains active.
18. Platform Availability
Safe Structure Group does not guarantee that the Platform, dashboard, notifications, payment processing, or lead delivery will be uninterrupted, error-free, or available at all times. Safe Structure Group shall not be liable for any loss resulting from downtime, delays, or technical failures of the Platform or any third-party services it relies on, including Stripe and Twilio.
19. Taxes and Business Expenses
The Company is solely responsible for determining and paying all taxes, fees, and business expenses arising from its use of the Platform or its business operations. Safe Structure Group does not provide tax advice.
20. Independent Contractor Relationship
The Company is an independent contractor. Nothing in these Terms creates an employment, agency, partnership, joint venture, or representative relationship between the Company and Safe Structure Group or NRK Enterprises, LLC. The Company has no authority to bind Safe Structure Group in any agreement or representation.
21. Platform Administration
Safe Structure Group may, at its sole discretion, approve, reject, remove, pause, modify, or correct any Service Request or Company account at any time, without liability. Safe Structure Group reserves the right to adjust the Platform, its features, pricing, and policies at any time.
22. Disclaimer of Warranties
The Platform is provided “as is” and “as available” without warranty of any kind, express or implied. Safe Structure Group expressly disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
23. Limitation of Liability
To the maximum extent permitted by applicable law, Safe Structure Group’s total liability to the Company for any claim arising out of or related to these Terms or the Company’s use of the Platform shall not exceed the amount paid by the Company for the specific Service Request purchase that is the subject of the claim. In no event shall Safe Structure Group be liable for any indirect, incidental, special, consequential, or punitive damages.
24. Indemnification
The Company agrees to indemnify, defend, and hold harmless Safe Structure Group, NRK Enterprises, LLC, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to the Company’s use of the Platform, services performed for Customers, violations of these Terms, or violations of applicable law.
25. Dispute Resolution
Governing law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Time limitation on claims: Any claim or cause of action arising out of or related to these Terms or the use of the Platform must be filed within ninety (90) days after the claim or cause of action arose. Any claim not filed within this period is permanently barred.
Informal resolution: Before initiating any formal dispute, the Company must contact Safe Structure Group at [email protected] and attempt to resolve the matter informally for at least thirty (30) days.
Arbitration: If informal resolution fails, disputes shall be resolved by binding arbitration administered by JAMS in Los Angeles, California. If arbitration does not resolve the matter, either party may pursue claims in a court of competent jurisdiction in Los Angeles County, California.
Arbitration time limitation: A party wishing to arbitrate a dispute must initiate arbitration proceedings no later than the expiration of the ninety (90) day period described above. The arbitrator shall apply the same limitation period that would apply if the dispute had been brought in court.
Class action waiver: The Company waives any right to participate in a class action lawsuit or class-wide arbitration. All claims must be brought in the Company’s individual capacity.
26. Modifications to These Terms
Safe Structure Group reserves the right to modify these Terms at any time. Changes take effect immediately upon posting. It is the Company’s responsibility to review these Terms periodically. Continued use of the Platform after any modification constitutes acceptance of the revised Terms.
27. Survival
The following provisions survive termination of an account: confidentiality obligations, customer data restrictions, payment obligations, dispute resolution, limitation of liability, and indemnification.
28. Miscellaneous
Entire agreement: These Terms constitute the entire agreement between the parties regarding the Platform and supersede all prior agreements.
Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
Waiver: Failure to enforce any provision does not constitute a waiver of the right to enforce it in the future.
Force majeure: Safe Structure Group is not liable for failures caused by events outside its reasonable control.
